Elements of promissory estoppel:

  1. a promise
  2. promisor should reasonably expect to induce action or forebearance on the part of another party
  3. action or forebearance
  4. injustice can be avoided only be enforcement of the promise.


Promissory estoppel is:

“[a] promise which the promisor should reasonably expect to induce action or forbearance on the part of the promisee or a third person and which does induce such action or forbearance is binding if injustice can be avoided only by enforcement of the promise.   The remedy granted for breach may be limited as justice requires.”

Tolboe Constr. Co. v. Staker Paving & Constr. Co., 682 P.2d 843, 845 (Utah 1984) (quoting Restatement (Second) of Contracts § 90 (1981));  accord Andreason v. Aetna Cas. & Sur. Co., 848 P.2d 171, 175 (Utah Ct.App.1993).
