Business Formation Documents

Below you will find documents for starting a Utah limited liability company, corporation, or other business entity. Articles of Organization registered with the Utah Division of Corporations & Commercial Code create your business, an Operating Agreement governs its use, and applying for an EIN (an Employer Identification Number, sort of like a social security number for a business) are some of the basics for getting a business up and running. There may be other legal requirements.

Confidentiality Agreements

Confidentiality and non-disclosure agreements protect an individual or company that is going to disclose information it does not want divulged to other parties. These agreements can vary substantially depending on need and purpose. Some may include limitations of another nature, such as on competition or solicitation of, for example, clients or employees. These are typically quite state-specific and may face intense court scrutiny. Some terms may be unenforceable if not carefully drafted. Other terms may not accomplish the purpose intended.

Power of Attorney Documents

A general power of attorney is a document signed by a person who is legally competent who desires to name someone else to engage in basic day-to-day business on behalf of that person (as though standing in that person's shoes), such as writing checks. It does not extend to health care decisions, however (see advance health care directives or living wills). A power of attorney does not operate beyond the death of a person, but some operate after the person making it has ceased to function competently.
